Terms of Use

These Terms govern your use of FLATNEEDLE and its subscription-based 3D tattoo simulation software services.

These Terms of Use ("Terms") govern your access to and use of the FLATNEEDLE website, desktop applications, downloadable software, subscription plans, content, and related services (collectively, the "Service") provided by flatneedle ("FLATNEEDLE," "Company," "we," "us," or "our").

By creating an account, accessing, downloading, purchasing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Eligibility

You may use the Service only if you are legally capable of entering into a binding contract under the laws applicable to you. If you are using the Service on behalf of a company, studio, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" will refer to both you and that entity.

2. The Service

FLATNEEDLE provides subscription-based 3D software and related tools designed for tattoo simulation, design preview, workflow support, and related digital creative use cases. Features may vary depending on your plan, device, region, or technical environment.

We may modify, improve, suspend, or discontinue any part of the Service at any time, including features, integrations, technical requirements, or pricing-related packaging, provided that such changes do not unlawfully deprive you of already-paid core access for the current billing period.

3. Account Registration and Authentication

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep such information updated.

Authentication to the Service may be provided through third-party identity and authentication infrastructure, including Firebase Authentication and Google Sign-In. Your use of those login methods may also be subject to the terms and privacy policies of the relevant third-party providers.

You are responsible for:

  • maintaining the confidentiality of your account credentials,
  • all activities that occur under your account, and
  • promptly notifying us if you suspect unauthorized access or use.

You may not share your account with others unless your subscription plan expressly permits multi-user or team access.

4. License Grant

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during your active subscription term solely for your internal personal or business use in accordance with these Terms.

This license does not grant you ownership of the Service or any software, code, models, visual assets, documentation, trademarks, or other materials made available by FLATNEEDLE.

5. Prohibited Conduct

You agree not to, and not to permit others to:

  • copy, reproduce, distribute, sell, lease, or resell the Service except as expressly permitted;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, except where prohibited by law;
  • bypass, disable, or interfere with security, licensing, payment, or usage restrictions;
  • use the Service to infringe third-party intellectual property, privacy, publicity, or other rights;
  • upload malicious code, malware, spyware, or harmful scripts;
  • use bots, scraping, or automated means to access the Service in an unauthorized manner;
  • share license access, credentials, or paid functionality in violation of your subscribed plan;
  • use the Service for unlawful, deceptive, fraudulent, defamatory, or abusive purposes;
  • remove proprietary notices, branding, or legal notices from the Service.

6. User Content

You may upload, create, import, store, or process content through the Service, including designs, images, text, project files, preferences, and other materials ("User Content"). You retain ownership of your User Content, subject to the rights you grant below.

You grant FLATNEEDLE a worldwide, non-exclusive, royalty-free license to host, process, store, transmit, reproduce, and display User Content solely as necessary to operate, maintain, secure, improve, and provide the Service to you.

You represent and warrant that:

  • you own or have sufficient rights to your User Content,
  • your User Content and use of the Service do not violate any law or third-party rights, and
  • your User Content does not contain malicious code or unlawful material.

We do not claim ownership of your User Content. However, we may remove or restrict content that violates these Terms, applicable law, or the rights of others.

7. Intellectual Property

The Service, including its software, interface, branding, logos, designs, workflows, text, graphics, audiovisual materials, and all related intellectual property rights, is owned by or licensed to FLATNEEDLE and is protected by applicable intellectual property and unfair competition laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

8. Subscription Plans and Billing

Certain parts of the Service require a paid subscription. Subscription features, billing intervals, limits, and pricing will be presented to you at the time of purchase or on the relevant pricing page.

Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle until cancelled.

You authorize charges for the applicable subscription fees, taxes, and any other clearly disclosed amounts associated with your selected plan.

9. Payment Processing

Payments for subscriptions or other purchases may be processed by third-party payment providers, including Lemon Squeezy. Where Lemon Squeezy acts as the merchant of record for a transaction, the purchase transaction may legally be processed through Lemon Squeezy rather than directly by FLATNEEDLE.

We do not store your full payment card details unless expressly stated otherwise. Payment processing is subject to the terms, policies, and operational practices of the relevant payment processor.

10. Renewals, Cancellation, and Plan Changes

You may cancel your subscription at any time through your account settings, billing portal, or other method we make available. Unless otherwise stated at checkout or in a separate billing policy:

  • cancellation stops future renewals,
  • your subscription remains active until the end of the current paid billing period, and
  • no prorated refund is provided solely because you stop using the Service before the period ends, unless required by law or expressly stated in our refund policy.

We may allow upgrades, downgrades, or other changes to subscription plans. Any immediate charges, credits, or changes in access will be handled according to the terms disclosed at the time of the plan change.

11. Refunds

Our refund practices are described in this Subscription & Refund Policy section. Except where required by applicable law, refunds are not guaranteed unless expressly stated in this policy or offered in writing.

If a transaction is processed by Lemon Squeezy, refund processing may also be subject to the operational rules and timelines of Lemon Squeezy and the applicable payment method.

12. Free Trials, Promotions, and Beta Features

We may offer free trials, promotional access, discounts, beta features, or limited releases from time to time. Such offerings may be subject to additional conditions and may be modified or terminated at any time unless prohibited by law.

Beta, preview, experimental, or early-access features are provided "as is" and may be incomplete, unstable, or discontinued without notice.

13. Availability and Support

We aim to provide a reliable Service, but we do not guarantee that the Service will always be available, uninterrupted, secure, error-free, or compatible with every device, operating system, browser, or hardware environment.

Maintenance, updates, outages, internet failures, third-party platform issues, and force majeure events may affect availability.

14. Third-Party Services and Links

The Service may integrate with or rely on third-party products, services, SDKs, APIs, or websites, including Google, Firebase, and Lemon Squeezy. We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them may be subject to separate third-party terms and privacy policies.

15. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that we may process personal data as described there.

16. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if:

  • you violate these Terms,
  • you fail to pay applicable fees,
  • your use creates legal, security, or operational risk, or
  • we are required to do so by law or a third-party provider relationship.

Upon termination, the license granted to you under these Terms ends immediately, except for provisions that by their nature should survive termination.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

FLATNEEDLE DOES NOT WARRANT THAT OUTPUTS, SIMULATIONS, VISUAL PREVIEWS, COLOR RENDERING, DEVICE DISPLAY RESULTS, OR DESIGN RESULTS WILL BE PERFECTLY ACCURATE, COMPLETE, OR FIT FOR ANY MEDICAL, COMMERCIAL, OR DECISION-CRITICAL PURPOSE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLATNEEDLE, ITS AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF FLATNEEDLE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO FLATNEEDLE OR THROUGH THE APPLICABLE PAYMENT CHANNEL FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD $100.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you to the extent prohibited by law.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless FLATNEEDLE and its officers, directors, employees, affiliates, licensors, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • your User Content,
  • your misuse of the Service,
  • your violation of these Terms, or
  • your violation of any law or third-party rights.

20. Feedback

If you provide FLATNEEDLE with any suggestions, ideas, recommendations, proposals, comments, bug reports, feature requests, feedback, or other input regarding the Service or any related products or services ("Feedback"), such Feedback will be deemed non-confidential and non-proprietary to you, except to the extent expressly stated otherwise in a separate written agreement signed by FLATNEEDLE.

To the maximum extent permitted by applicable law, you hereby grant FLATNEEDLE a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, adapt, translate, create derivative works from, publish, distribute, perform, display, commercialize, and otherwise exploit any Feedback for any lawful purpose, including to develop, improve, market, support, and operate the Service and related products and services, without notice, attribution, approval, or compensation to you.

You represent and warrant that you have all rights necessary to provide such Feedback and to grant the rights described in these Terms, and that providing such Feedback does not violate any confidentiality obligation or the rights of any third party.

Nothing in these Terms obligates FLATNEEDLE to use, implement, review, or respond to any Feedback.

21. Export Control and Sanctions

You may not use, export, re-export, or transfer the Service except as authorized by applicable export control, sanctions, and trade laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive trade restrictions applicable to the Service, and that you are not on any restricted party list applicable to the Service provider.

22. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on our website, updating the "Last Updated" date, through the Service, or by other reasonable means. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the revised Terms, to the extent permitted by law.

23. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict of law principles.

Unless otherwise required by mandatory consumer protection law, any dispute arising out of or relating to these Terms or the Service shall be submitted to the courts having jurisdiction over Geoje-si, Gyeongsangnam-do, Republic of Korea.

If you are a consumer residing in another jurisdiction, you may also have mandatory rights under the consumer protection laws of your country of residence.

24. General

  • Entire Agreement. These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and FLATNEEDLE regarding the Service.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
  • Language. If these Terms are translated into another language, the English version will control in the event of conflict unless otherwise required by law.
